Seller Agreement

1. Eligibility and verification
A seller must be a lawfully operating organisation represented by an authorised user. Provide accurate business identity, tax, bank, contact, capability and certification information and keep it current.
Access may depend on documents, organisation status, entitlements and compliance review. Verification is not a performance guarantee and does not transfer seller obligations to FabSetu.
2. Listings and bids
Accurately state product identity, maker or brand, specifications, condition, origin, compatibility, stock or lead time, quantity, price, taxes, warranty, returns, images and safety limitations. You must have the right to sell the goods and use the content.
Bids must be genuine and state assumptions, exclusions, validity, tooling, freight, taxes, milestones and dependencies. Do not manipulate bids or reviews, coordinate prices unlawfully, hide mandatory charges or claim unavailable stock.
3. Orders and product compliance
Accept or reject orders promptly, supply conforming goods on time, package appropriately and provide required invoices, tracking and documents. Disclose delays or substitutions and obtain approval where required. You remain responsible for selected subcontractors and carriers.
Supplied goods must be authentic, lawful, safe for disclosed use, free from undisclosed liens and conform to the accepted order. Maintain required licences, standards, traceability, warnings and recall information and honour warranties.
4. Payments, fees and taxes
You authorise FabSetu and payment providers to create records and process authorised capture, cancellation and refunds. Applicable platform fees, provider charges and settlement conditions must be disclosed in commercial terms.
You are responsible for tax registration, classification, invoices, collection, remittance, withholding and reporting. Amounts may be withheld or reversed when required by law, an authorised refund or a payment dispute.
5. Buyer data, returns and support
Use buyer contacts, BOMs, drawings, addresses and order data only for the authorised transaction, legal duties and disputes. Follow NDAs, secure the data and do not sell it or add contacts to unrelated marketing.
Publish clear delivery, return, cancellation and warranty terms; respond to claims on time; and cooperate with support, grievances, recalls and lawful requests. Do not retaliate against a buyer for a good-faith complaint.
6. Enforcement and responsibility
FabSetu may request verification, restrict a listing, pause settlement or transactions, require corrective action or suspend access for safety, fraud, non-performance, repeated complaints or breach, with an opportunity to respond where appropriate.
The seller remains responsible for claims, losses, recalls, taxes, penalties and third-party rights arising from its goods, content, conduct or breach to the extent provided by agreement and law.
